Terms of Use

Effective date: August 11, 2026

These Terms of Use ("Terms") are a legal agreement between you and Koen Schira, operator of MetiVis ("MetiVis," "we," "us," or "our"). They govern your access to and use of https://metivis.com, the MetiVis public website, the private-beta waitlist, and any invite-only MetiVis beta that links to these Terms (collectively, the "Services").

By using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. Current product status

MetiVis is currently in private beta. Features may be incomplete, experimental, unavailable, or changed without notice. Public website content may describe what MetiVis is building; it does not mean that every described capability is generally available today.

Joining the private-beta list does not guarantee an invitation, a particular invitation date, continued access, or future availability.

2. Eligibility and age

You must be at least 17 years old to use the Services or join the private-beta list.

If you are under the age of legal majority where you live, you may use the Services only with permission from a parent or legal guardian. By using the Services, you represent that you meet the age requirement and, where required, have that permission.

Do not use the Services if applicable law prohibits you from doing so.

The current private beta is intended for users in the United States.

3. Privacy and supplemental policies

Our Privacy Policy explains how we handle personal information and is incorporated into your use of the Services.

If you participate in an invite-only beta, the Private Beta Terms also apply. The Acceptable Use Policy applies to all use of the Services.

If a supplemental term directly conflicts with these Terms for a specific feature, the supplemental term controls for that feature.

4. Educational purpose; no guaranteed outcome

MetiVis is an educational and learning-support product. It is not an accredited school, college, university, licensing body, or substitute for the rules or judgment of your instructor or institution.

MetiVis does not guarantee:

  • a grade, test score, admission, credential, job, or professional outcome;
  • that you will understand or remember every concept;
  • that every explanation, inference, evaluation, or generated response is correct;
  • that use of MetiVis is permitted by a particular class, school, exam, employer, or institution.

You remain responsible for your own work, decisions, submissions, and compliance with academic or institutional rules.

MetiVis is not a provider of medical, legal, financial, or other regulated professional advice. Educational content about those subjects is not a substitute for advice from a qualified professional when professional advice is required.

5. AI and generated/inferred information

MetiVis may use artificial intelligence, automated systems, or probabilistic models. Those systems can make mistakes, misunderstand context, or produce incomplete or inaccurate information.

A MetiVis statement about what you appear to know, what you may be missing, or what you should learn next is an inference based on available evidence, not an infallible measurement of your mind or ability.

Use appropriate judgment and independently verify information when accuracy matters.

6. Accounts and access

Some private-beta features may require an account or invitation.

You agree to:

  • provide accurate information;
  • protect your credentials and invitation links;
  • not sell, transfer, or share access in violation of an invitation or feature rule;
  • notify us at support@metivis.com if you suspect unauthorized access.

You are responsible for activity through your account to the extent permitted by law.

7. Your content

"User Content" means materials you submit to the Services, such as questions, homework, text, images, documents, links, answers, attempts, explanations, feedback, or other learning materials.

You keep your rights

As between you and MetiVis, you retain the rights you have in your User Content.

Permission needed to operate the Service

You grant MetiVis a non-exclusive, worldwide, royalty-free license to host, store, reproduce, transmit, format, modify as technically necessary, analyze, and otherwise process User Content only as reasonably needed to operate, provide, maintain, secure, troubleshoot, evaluate, and improve MetiVis and the features you use.

This permission includes processing by service providers acting for those purposes and limited review by authorized MetiVis personnel where reasonably needed for support, quality evaluation, safety, debugging, or product improvement.

We will not publish identifiable private User Content as a testimonial, public example, or advertisement without separate permission.

If MetiVis later proposes a materially different use of identifiable learner content—such as a new form of general-purpose model training that is not reasonably covered by providing and improving the MetiVis service—we will review the privacy and consent implications and update notices or obtain additional permission where required before that use.

Your responsibilities

You represent that you have the rights and permissions reasonably necessary to submit User Content and allow MetiVis to process it as described above.

Do not submit material when doing so violates law, a confidentiality obligation, intellectual-property rights, exam/course rules, or another person's privacy rights.

8. Academic integrity

MetiVis is designed to support learning, not to give you permission to violate academic rules.

You must follow the rules of your class, school, exam, institution, employer, or credentialing body. If the use of AI or outside assistance is prohibited for a task, do not use MetiVis for that prohibited purpose.

Do not use MetiVis to impersonate another person, falsify authorship, fabricate required participation, or misrepresent work as independently completed when it was not.

9. Acceptable use

You must comply with the Acceptable Use Policy. Among other things, you may not use the Services to break the law, harm others, interfere with the Services, gain unauthorized access, distribute malware, violate rights, or circumvent technical safeguards.

10. MetiVis intellectual property

The Services, including MetiVis software, branding, design, site content, documentation, and other materials provided by MetiVis, are owned by MetiVis or its licensors and are protected by applicable intellectual-property laws.

Subject to these Terms, we give you a limited, personal, non-exclusive, non-transferable, revocable right to access and use the Services for their intended purpose.

Except where applicable law expressly allows it, you may not copy, sell, sublicense, distribute, reverse engineer, scrape at abusive scale, or exploit the Services in a way that infringes our rights or interferes with operation of the Services.

Nothing in these Terms prevents lawful security research, interoperability, fair use, or other activity that cannot legally be restricted, provided you do not use it as a pretext for unauthorized access or harm.

11. Feedback

If you voluntarily provide ideas, suggestions, bug reports, or other feedback about MetiVis, you allow us to use that feedback without restriction or compensation to you. This does not give us ownership of your private learning materials merely because you used the Services while giving feedback.

12. Third-party services and content

The Services may depend on or link to third-party services. We are not responsible for third-party services we do not control. Your use of those services may be subject to their own terms and privacy policies.

13. Payments and future plans

The current private-beta access described on the prelaunch website is free.

The website may describe planned future pricing. Planned pricing is not a promise that a plan will launch at that price.

MetiVis will not charge you merely because you joined the private-beta list. Before paid access begins, we will present the applicable price, billing terms, cancellation terms, and any additional payment terms required for the transaction.

A separate review is required before MetiVis accepts payment directly from users who are under the age of legal majority.

14. Suspension and termination

You may stop using the Services at any time.

We may suspend or terminate access if reasonably necessary to:

  • protect the Services or other users;
  • investigate suspected abuse or a violation of these Terms;
  • comply with law;
  • operate or end a beta;
  • discontinue a feature or the Services.

Where practical and appropriate, we may provide notice. Beta access can also end without cause because capacity, testing needs, or the product itself changes.

Sections that by their nature should survive termination—including intellectual-property, feedback, disclaimers, limitations of liability, and dispute provisions—will survive to the extent applicable.

15. Copyright and rights complaints

If you believe material associated with MetiVis infringes your copyright or other rights, contact support@metivis.com with enough information for us to understand and investigate the claim.

Do not knowingly submit false infringement notices.

This general contact process is not a representation that MetiVis has registered a DMCA designated agent or that a particular statutory safe harbor applies.

16. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."

METIVIS DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE, EXCEPT TO THE EXTENT A WARRANTY CANNOT LEGALLY BE DISCLAIMED.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, ACCURATE, COMPLETE, OR AVAILABLE AT ANY PARTICULAR TIME, OR THAT DATA WILL NEVER BE LOST.

Some jurisdictions do not allow certain warranty exclusions, so some of the above may not apply to you.

17. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, METIVIS AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO THE SERVICES, EVEN IF ADVISED THAT SUCH DAMAGES ARE POSSIBLE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, METIVIS'S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID METIVIS FOR THE SERVICES DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) US $100.

These limitations do not apply to liability that cannot lawfully be excluded or limited. Some jurisdictions provide rights that cannot be waived; these Terms do not waive them.

18. Indemnity

To the extent permitted by law, you agree to indemnify and hold harmless MetiVis and its affiliates, personnel, and contractors from third-party claims, damages, and reasonable costs arising from your unlawful use of the Services, your material violation of these Terms, or User Content that you had no right to submit.

This section does not require you to indemnify a party for that party's own unlawful conduct and does not limit non-waivable consumer rights.

19. Governing law and courts

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles, except where applicable consumer law requires otherwise.

Subject to any non-waivable right you have to bring a claim elsewhere, disputes arising from these Terms or the Services will be brought in the state or federal courts located in San Diego County, California, and you and MetiVis consent to their jurisdiction.

These Terms do not impose mandatory arbitration or a class-action waiver.

20. Changes to these Terms

We may update these Terms as the Services change. We will post the updated Terms with a new effective date. For material changes affecting an existing account or beta relationship, we will provide additional notice when appropriate and seek renewed agreement when required by law or when the nature of the change calls for it.

Changes do not retroactively rewrite a dispute that arose before the updated Terms became effective unless applicable law permits that result and the parties validly agree.

21. General terms

If a provision of these Terms is held unenforceable, the remaining provisions remain in effect to the extent permitted by law.

Our failure to enforce a provision is not a waiver of our right to enforce it later.

You may not assign these Terms without our consent, except to the extent applicable law provides otherwise. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of substantially all relevant assets.

These Terms, the Privacy Policy, the Acceptable Use Policy, and any applicable supplemental terms are the agreement between you and MetiVis regarding the Services covered by them.
